Welcome to 94X Movement. These Terms and Conditions ("Terms") govern your access to and use of the 94X Movement website (https://94xmovement.org/), the 94X mobile application (the "App"), the 94X Community, courses, chapters, roundtables, events, affiliate portal, and any related services (collectively, the "Services"), operated by 94X Movement, a 501(c)(3) nonprofit organization ("94X," "we," "us," or "our").

By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, please do not use the Services.

1. Eligibility

You must be at least 18 years old to create an account, register for membership, join the Community, use the App, opt in to receive text messages, or provide any personal information to us. The Services are not directed to individuals under 18. If we learn that someone under 18 has provided us personal information, we will delete it. If you believe a minor has provided us information, please contact us at host@94xmovement.org.

2. Membership and the 94X Community

Access to certain parts of the Services (such as the 94X Community, courses, resource library, member directory, and select events) may be free or may involve a paid membership tier, now or in the future, on the website and/or the App.
If a paid membership applies to you, fees and billing cycles will be disclosed at the time of signup.
Cancellation: if you have a paid membership, you may cancel at any time by providing written notice to host@94xmovement.org at least 7 days before the end of your current billing cycle to avoid being charged for the next cycle. Cancellation requests received after that window will be processed for the following billing cycle.
Our right to cancel: we reserve the right to cancel or suspend any membership at any time, with or without notice, including for violations of these Terms. If we cancel your membership without cause, we will refund any prorated fees paid for the current billing cycle.
Donations made through the Services (via Zeffy or Engiven) are separate from membership fees and are generally non-refundable except as required by law or as we determine appropriate on a case-by-case basis.

3. Your Account

You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.
You agree to provide accurate, current information when registering and to keep it updated.
You may not share your account, impersonate another person, or create an account for anyone other than yourself.
We may suspend or terminate your account at our discretion, including for violation of these Terms, misuse of the Services, or conduct inconsistent with 94X's mission and values.

4. Member Directory

If you choose to appear in the Member Directory, your information (such as name, business, and city) will be publicly visible to anyone, including non-members. You are responsible for what you choose to include in your directory listing. You may request removal from the directory at any time by contacting us.

5. User-Generated Content and Conduct

Content you post. The Services may allow you to post, share, or submit content — including community posts, comments, messages, course discussion, roundtable materials, and directory information ("User Content"). You retain ownership of your User Content, but by submitting it, you grant 94X a non-exclusive, royalty-free, worldwide license to use, display, reproduce, and distribute that content within the Services for the purpose of operating and promoting the Community, courses, and related programs.

Standards of conduct. When using the Services, you agree not to:

Post content that is unlawful, harassing, defamatory, abusive, hateful, or otherwise objectionable
Impersonate any person or misrepresent your affiliation with any person or entity
Use the Services for unauthorized commercial solicitation, spam, or multi-level marketing pitches inconsistent with 94X's relational, non-transactional community values
Upload viruses or malicious code, or attempt to interfere with the operation or security of the Services
Scrape, harvest, or misuse Member Directory information for purposes outside genuine networking
Violate any applicable law or the rights of any third party

Moderation. We reserve the right, but not the obligation, to monitor, edit, remove, or refuse to post any User Content, and to suspend or terminate accounts, at our sole discretion, for any reason, including violation of these Terms.

6. App-Specific Terms

If you use the 94X mobile application, the following additional terms apply:

Location Services: if you enable location permissions, the App may use your device's location to help you find the nearest 94X Roundtable or Chapter. You may disable this at any time in your device settings; some features may not function properly without it.
Push Notifications: if enabled, we may send notifications about community activity, courses, chapters, roundtables, and events. You can turn these off at any time in your device settings.
Messaging: the App may include in-app messaging features between members. You are responsible for your conduct and communications through these features, and they are subject to Section 5 above.
Courses and Affiliate Portal: access to courses and any affiliate/referral tracking features through the App is subject to these Terms and any additional guidelines we provide within the App.
App Store Terms: if you downloaded the App from Apple's App Store or the Google Play Store, your use is also subject to that platform's standard terms of service, which take precedence in the event of a conflict specific to platform requirements.
Device compatibility: we do not guarantee that the App will be compatible with every device or operating system version.

7. SMS / Text Messaging Terms

These SMS terms apply if you opt in to receive text messages (SMS/MMS) from 94X Movement.

Consent / How You Opt In. By providing your mobile phone number and separately opting in to receive SMS/text messages from 94X Movement — for example, by checking an SMS consent checkbox on our website or in the App, submitting an applicable form with SMS consent, or texting a designated keyword — you expressly consent to receive SMS/text messages from 94X Movement at the mobile number you provide. Messages may be sent using an automated messaging system. Your consent to receive SMS/text messages is voluntary and is not a condition of membership, purchase, donation, or access to any goods or services. Message frequency varies, and message and data rates may apply.
Types of messages. Depending on the consent you provide, messages may include: community updates, event and roundtable reminders, chapter announcements, course and program notifications, account and membership notifications, and — only if you separately consent — promotional or marketing messages about 94X offerings.

Costs. Message and data rates may apply. 94X does not charge you for these messages, but your mobile carrier's standard message and data rates may apply.
Opt-out. You can cancel at any time by replying STOP (or CANCEL, END, QUIT, UNSUBSCRIBE, or STOPALL) to any of our messages. After you send one of these keywords, we will send you a one-time confirmation message and then stop sending SMS messages. You will not receive further texts unless you opt in again.
Help. For help, reply HELP to any message, or contact us at host@94xmovement.org.
Carrier disclaimer. Mobile carriers are not liable for delayed or undelivered messages.
Mobile information and data sharing. No mobile information will be shared with third parties/affiliates for marketing/promotional purposes. Information sharing to subcontractors in support services, such as customer service, is permitted. All other use case categories exclude text messaging originator opt-in data and consent; this information will not be shared with any third parties.
Eligibility. You must be at least 18 years old to opt in to receive text messages, consistent with Section 1.

8. Donations

94X is a registered 501(c)(3) nonprofit organization. Donations made through our Services (including via Zeffy for standard giving and Engiven for cryptocurrency giving) are processed by those third-party platforms under their own terms and privacy practices. We do not directly collect or store full payment card or cryptocurrency wallet details. Please retain your donation receipt for tax purposes; consult a tax professional regarding deductibility.

9. Intellectual Property

All content on the Services — including the 94X name, logo, course materials, written content, graphics, audio/video, and the Roundtable Leader Guide — is owned by 94X Movement or its licensors and is protected by copyright, trademark, and other intellectual property laws. You may not copy, reproduce, distribute, or create derivative works from our content without our prior written permission, except for personal, non-commercial use as intended by the Services (e.g., using course materials for your own leadership development).

10. Third-Party Links and Services

The Services may link to or integrate with third-party platforms, including Circle.so (Community platform), Zeffy and Engiven (donations), Apple Podcasts, and social media platforms (Facebook, Instagram, LinkedIn, YouTube). We do not control and are not responsible for the content, terms, or privacy practices of these third parties. Your use of them is subject to their own terms.

11. Disclaimers

The Services are provided "as is" and "as available" without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, or non-infringement. 94X does not guarantee that the Services will be uninterrupted, error-free, or secure. Content shared through the Services, including community discussions, courses, and roundtable materials, reflects the views of individual contributors and does not necessarily represent professional legal, financial, tax, or business advice — you should consult qualified professionals for advice specific to your situation.

12. Limitation of Liability

To the fullest extent permitted by law, 94X Movement, its officers, directors, volunteers, and affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, arising out of or related to your use of the Services, even if advised of the possibility of such damages. Our total liability for any claim arising from these Terms or the Services will not exceed the amount you paid us, if any, in the twelve months preceding the claim.

13. Indemnification

You agree to indemnify and hold harmless 94X Movement and its officers, directors, volunteers, and affiliates from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Services, your User Content, or your violation of these Terms.

14. Termination

We may suspend or terminate your access to the Services at any time, with or without cause or notice. You may stop using the Services and, if applicable, cancel your membership as described in Section 2. Sections of these Terms that by their nature should survive termination (including Sections 9, 11, 12, and 13) will survive.

15. Governing Law and Disputes

These Terms are governed by the laws of the State of Oklahoma, without regard to its conflict of laws principles. Before filing any formal legal claim, you agree to first contact us at host@94xmovement.org so we can attempt to resolve the issue informally. If a dispute cannot be resolved informally, it will be subject to the exclusive jurisdiction of the state and federal courts located in Tulsa County, Oklahoma, and you consent to personal jurisdiction there.

16. Changes to These Terms

We may update these Terms from time to time. We will post the updated version with a new "Effective Date" above. Continued use of the Services after changes take effect constitutes your acceptance of the updated Terms.
